Terms & Conditions

Parties:
“We”; “Our” – refers to GoodLister (Pty) Ltd (“GoodLister”), a registered company. 
“You”; “Your” – refers to you, the registered User of the GoodLister™ app. 

Terms:
“the App” – refers to the GoodLister™ smartphone app used by GoodLister to provide its services to its User(s).
“the User” – refers to any person who has created a user account on the App and makes use of the App. 

 

INTRODUCTION

Creating an account on and making use of the App implies that you agree to the following Terms and Conditions (“Ts & Cs”) of the use of the App. 

These Ts & Cs will apply to and will be enforceable against every User making use of the App.  

By creating an account on the App and clicking the “Sign Up” button, you acknowledge that you have read and agreed to these Ts & Cs.

Making use of the App will constitute your unreserved acceptance of these Ts & Cs and your agreement to follow and be bound by them. 

When you make use of the App you do so in accordance with these Ts & Cs, regardless of your geographic whereabouts.

You must not make use of the App if you do not agree to these Ts & Cs.

It is important that Users read these Ts & Cs together with our Privacy Policy found here and clearly understand and agree to the terms therein.

Our services are provided to you subject to the following Ts and Cs:

 

PRODUCT INFORMATION

The App allows Users to create a wide variety of different lists and share and edit those lists in real-time with other Users.

GoodLister may, at its sole discretion and without any prior notice, allow third party companies to display and sell their products on the App.

 

IMPORTANT NOTICE

These Ts & Cs apply to Users who are consumers for purposes of the Consumer Protection Act, 68 of 2008 (“the CPA”).

Your attention is drawn to these Ts & Cs as they are important to the User and should be carefully reviewed and noted.

Should you not understand any of the provisions in these Ts & Cs, then it is your responsibility to gain a clear understanding before accepting them and making use of the App.

Nothing found in these Ts & Cs is intended to unlawfully restrict, limit or avoid any right or obligation created for either GoodLister or you, in terms of the CPA.

 

USE OF THE APP & USER REGISTRATION

Only registered Users may make use of the App.

In order to create an account on the App, you must provide your email address and unique password, as well as certain Personal Information required.

You will need to make use of your email address and password to log in to the App, failing which you will be denied access.  

Do not share your password with any third parties and ensure that your account is used for personal use only.

You agree that once your email address and corresponding password have been entered into the App (regardless of whether the login is unauthorised or fraudulent) you will be liable for payment of any GoodLister Pro subscription (“Subscription”) made, save where the Subscription is cancelled by you in accordance with these Ts & Cs.

It is your duty to notify GoodLister immediately upon becoming aware of or reasonably suspecting any unauthorised access to/activity on your account.

The App is available for download on the App Store and on the Google Play store.

The standard version of the App is available to all Users free of charge.

The App allows for Users to upgrade from the standard version to a GoodLister Pro version of the App, granting the User additional features over and above the standard version, at a subscription fee.

The App is developed for Users of all ages to create, share and edit lists with their friends, family, and colleagues.

GoodLister may, at its sole discretion and without any prior notice, allow third party companies to display and sell their products directly on the App. Purchasing goods directly from these third party companies constitutes a legally binding contract.

In order to enter into a legally binding contract you have to be over the age of 18 (eighteen) and/or have the legal capacity to do so. If you are under the age 18 (eighteen) or do not have the full legal capacity to enter into a legally binding contract, then you may only do so with the consent or supervision of your parent or legal guardian.

By using the app you confirm that you are either over the age of 18 (eighteen) or are doing so with the consent or supervision of your parent or legal guardian.

By allowing your (minor) child, under the age of 18 (eighteen), to create an account on and make use of the App unsupervised, you, as the child’s parent or legal guardian, agree that should your child purchase a subscription and/or purchase goods from a third party company on the App, you shall be bound to these Ts & Cs and shall be liable and responsible for your child and all their obligations under these Ts & Cs.

Should you, as a User, be under the age of 18 (eighteen) and want to use the App, then you must first obtain consent or supervision from your parent or legal guardian to do so. Should you purchase a subscription and/or purchase goods from a third party company on the App, then your parent or legal guardian agrees to be bound to these Ts & Cs and to be liable and responsible for you and your obligations under these Ts & cs. Kindly make sure that your parent(s) or legal guardian(s) read and understand these Ts & Cs.

By making use of the App and entering into one of the aforementioned legally binding contracts, you warrant that you are either 18 (eighteen) years or older and of full capacity, or have obtained consent from your parent(s) or legal guardian(s), or are under the supervision of your parent(s) or legal guardian(s).

You may not, under any circumstance, use the App to distribute material which is offensive, defamatory, or contains or amounts to hate speech. Should it come to our attention that you are doing so, we reserve the right to suspend or permanently delete your account and take further legal action if necessary. 

You may not under any circumstance publish, display, copy, print, use, or post the App or the information contained therein. Should it come to our attention that you are doing so, we reserve the right to suspend or permanently delete your account and take further legal action if necessary. 

You agree that you will not under any circumstance and in any way use any kind of device, instrument or software to interfere with the proper working of the App. Should it come to our attention that you are doing so, we reserve the right to suspend or permanently delete your account and take further legal action if necessary. 

 

PRO VERSION SUBCRIPTIONS & CANCELLATIONS

GoodLister Pro Subscriptions

A registered User may at any time purchase one of the following Subscription plans:

  • Monthly Subscription – this Subscription will update monthly (every 30 (thirty) days) and as a result Users will be charged monthly; or
  • Annual Subscription – this Subscription will update every year (every 12 (twelve) months) and as a result Users will be charged yearly from date of purchase.

The above Subscriptions will continue indefinitely and Users will be charged accordingly until Users cancel their Subscriptions in accordance with these Ts & Cs.

Users will only be able to purchase a Subscription directly from either:

  • the App Store if using an Apple device; or
  • the Google Play store if using an Android device.

It is the User’s duty to make sure that they only purchase their Subscription(s) from one of the two above mentioned marketplaces.

Should Users purchase a Subscription from a fraudulent or unauthorised vendor, then GoodLister will not be liable. 

 

Subscription Cancellations

No provisions in these Ts & Cs will supersede those found in the Terms of Service of either the App Store or the Google Play store. 

Users will only be able to cancel their Subscription(s) in accordance with the Terms of Service of the App Store or Google Play store.

It is your duty as a User of the App to read and understand the Terms of Service of whichever marketplace you make use of.

Permanently deleting your GoodLister account or deleting the App from your smart device will NOT cancel your Subscription. It is your duty to make sure that you have cancelled your account in accordance with the necessary Terms of Service of the appropriate marketplace. You will continue to be billed indefinitely until you cancel your Subscription accordingly. 

Once a User has purchased one of the two aforementioned Subscriptions they will then have access to GoodLister Pro so long as they continue to make payment of the recurring Subscription fees. 

If a User fails to make the necessary payment towards their Subscription, then their Subscription will be suspended until the payment is made in full.

Cancelling a Subscription will only stop the renewal of the Subscription.

GoodLister reserves the right to change the Subscription fees to any amount, for whatever and not limited to any specific reason.

Should Subscription fees change, for whatever reason, Users will be notified of same via email.

If the User is unhappy with the change of Subscription fees, then it is the User’s duty to cancel their Subscription within the appropriate time period for each Subscription plan, as detailed above.

The new Subscription fees will only come into effect at the end of the User’s current Subscription period.

If the User does not cancel their Subscription within the appropriate time period for each Subscription plan, as detailed above, then the Subscription will automatically renew and the User shall be charged the NEW Subscription fees, even if the User is not satisfied with same.

 

PRICES & METHOD OF PAYMENT

We are always committed to providing secure online payment facilities to our Users. All transactions are encrypted using the appropriate encryption technology.

All payments are processed through: 

  • the App Store if using an Apple device; or
  • the Google Play store if using an Android device.

It is your duty as a User of the App to read and understand the Terms of Service of whichever marketplace you make use of.

You warrant that you are fully authorised to use the payment method of your choice from the above-mentioned list.

You warrant that you have sufficient funds to cover all the costs incurred by you on the App, and agree that you will be liable for the full payment of same to GoodLister.

 

REFUNDS

Should you purchase any Subscription plan on the App, whether it be on purpose, or accidental, or fraudulent, then you will be liable to make full payment of that Subscription plan until you cancel same in accordance with the provisions in these Ts & Cs.

Refunds will only be processed in accordance with the Terms of Service of: 

  • the App Store if using an Apple device; or
  • the Google Play store if using an Android device.

It is your duty as a User of the App to read and understand the Terms of Service of whichever marketplace you make use of.

DISCOUNTS, PROMOTIONS & CODES

From time to time, GoodLister may offer discounts or promotions on Subscriptions.

All discounts and promotions will only be valid for a certain duration, as determined by GoodLister.

All discounts, promotions and codes used outside of their prescription period will be invalid and rejected.

GoodLister may, at its sole discretion, provide/award Users with Subscription codes (“codes”), granting them access to GoodLister Pro.

All codes provided by GoodLister will have a validity period and will expire upon prescription. Upon prescription, the User’s App will automatically be reverted back to the standard version of the App, until a Subscription is purchased.

 

ERRORS

GoodLister makes every effort to ensure that all the information we provide is correct, however, we cannot be responsible for any form of inaccurate display.

In the event that any of the pricing of our Subscriptions, for whatever reason, display any obvious errors, we undertake to correct the error as soon as possible.

GoodLister will not be bound by the incorrect price and should a User manage to purchase a Subscription at the incorrect price, then the amount will be amended and the User will be charged accordingly. Should the User have paid more than they should have, then the funds will be reversed accordingly. Should the User have paid less than they should have, then the User will be charged the appropriate shortfall amount.

 

THIRD PARTY COMPANIES

Should GoodLister allow third party companies to display and sell their products on the App then this section will be updated accordingly.

It is the User’s duty to review these Ts & Cs regularly for such changes.

 

ELECTRONIC COMMUNICATION, COMMENTS & REVIEWS

Users may post comments, reviews and other communications, submit suggestions and questions on GoodLister’s social media pages (@GoodListerApp on all platforms) so long as the content is not defamatory, obscene, illegal, threatening, considered hate speech, invasive of privacy or otherwise injurious to third parties and does not consist of or contain commercial solicitation, chain letters, software viruses, mass mailings, political campaigning or any other form of “spam”. 

GoodLister reserves the right to edit or remove such content from any of its social media platforms. 

If you do submit material or post content, you grant GoodLister a nonexclusive, royalty-free, irrevocable, perpetual right to use, adapt, modify, publish, reproduce, translate, display and distribute the content in any media.

You also grant GoodLister the right to use the name that you submit in connection with the content.

You confirm that the content you post is accurate and does not violate policy and will not cause injury to any entity or person.

GoodLister has the right but no obligation to monitor and remove or edit content and activity.

GoodLister assumes no liability or responsibility for any content posted by customers or third parties.

GoodLister will not be held liable for any damage caused directly or indirectly by accessing and using the App or the GoodLister website (“the Website”).

If you make use of the App or send us emails (to the email address listed at the bottom of this document) you consent to receive electronic communications from us, our affiliates or partners in accordance with our Privacy Policy.

We will communicate with you via email or by posting notices on the Website or our social media pages.

You agree that all agreements, notices, disclosures and other information that we provide to you electronically satisfy any legal requirement that such communications be in writing.

 

LICENSE & WEBSITE ACCESS

GoodLister grants you a limited license to access and make personal use of the App and not to download (other than page caching) or modify it.

This license does not include any resale or commercial use of the App or its contents; any collection and use of any product listings, descriptions, or prices; any derivative use of the App or its contents; any downloading or copying of account information for the benefit of another merchant; or any use of data mining, robots, or similar data gathering and extraction tools.

The App or any portion of the App may not be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose.

You may not frame or utilise framing techniques to enclose any trademark, logo, or other proprietary information (including Images, text, page layout, or form) of GoodLister and our affiliates. 

You will not acquire any right, interest or title in or to the App or the Website.

Any use, reproduction, or distribution of the App or Website or the content therein is strictly prohibited.

Should we become aware that you are taking part of any of the above mentioned activities in this section, we reserve the right to suspend and/or permanently delete your GoodLister account, and take any necessary legal action. 

 

INDEMNIFICATION

All Users make use of the App entirely at their own risk and assume full responsibility for any and all risk or loss resulting from the use or inability to use the App, or reliance on any information on the App or the Website.

GoodLister and any of its representatives, agents, affiliates and partners will not be liable for any loss, damage or liability of any kind arising from the use or inability to use the App or the services or content provided through or from the App. 

GoodLister makes every effort to ensure that all the information we provide is correct and complete, however, we cannot be responsible for the way Users make use of the App and what information they display and share with other Users in their lists.

Any view or statements made or expressed on the App by Users are not necessarily the views of GoodLister, its directors, employees and/or agents.

GoodLister cannot and will not be held liable for any inaccurate information published on the App by Users.

GoodLister cannot and will not be held liable for any direct, indirect, incidental, special or consequential damages or loss which may arise from your use or misuse of, or inability to use, or reliance upon the App or Website or the content therein.

You hereby indemnify GoodLister against any claim, damage or loss which may be suffered by you in any form from your use of the App.

 

SHARING INFORMATION & PRIVACY POLICY

GoodLister respects your privacy and will take all reasonable measures to protect your Personal Information from third parties.

APP AVAILABILITY, MAINTENANCE & TERMINATION

We will at all times do our best to keep the App running and maintain it to the highest of standards for our Users to enjoy and use with ease.

From time to time, for whatever reason, maintenance will be conducted by our developers on the App in order to address and fix bugs, glitches or errors and carry out new updates to improve the App and include new features.

GoodLister does not need to notify the Users of these maintenance periods. 

We will at all times attempt to keep maintenance as scarce as possible and attempt to carry out maintenance in ways that does not affect our Users, however, there may be times where we are required to carry maintenance for unforeseen / emergency situations. 

We ask that our Users bear with us during these maintenance periods and apologise for any inconveniences or troubles experienced when using the App.

GoodLister will not be held liable for any claim, damage or loss which may be suffered by you in any form during these maintenance periods.

GoodLister reserves the right to, for whatever reason, terminate or suspend the App or any part / feature of the App without any prior notice to you.

You agree that GoodLister will not be held liable for any claim, damage or loss which may be suffered by you in any form should the App be terminated or suspended.

GoodLister may, for whatever reason, modify the back-end and / or  front-end of the App in whatever way they like.

GoodLister may in its sole discretion terminate or suspend any User’s account.

Each account may only be used by 1 (one) individual. Should GoodLister or any of its authorised representatives become aware that more than 1 (one) individual is making use of a single registered account, then GoodLister may in its sole discretion terminate or suspend said account.

GoodLister may in its sole discretion blacklist Users for contraventions of any of the provisions found in these Ts & Cs.

GoodLister reserves the right to refuse a User’s registration on the App.

At any time, Users can elect to stop making use of the App and permanently delete their account without notifying GoodLister.

For the purposes of the Electronic Communications and Transactions Act, No. 25 of 2002 (“the ECT Act”), GoodLister’s information is as follows:

AMENDMENTS TO THESE TERMS & CONDITIONS

GoodLister may, at any time, in its sole discretion, amend any of the above Ts & Cs without any prior notice.

It is your responsibility to check them regularly and ensure that you are satisfied with the changes.

In the event that you are not satisfied, you must not continue to make use of the App, and you must immediately delete your account (and cancel your Subscription if you have purchased one).

If any condition is deemed for any reason unenforceable, void or invalid, the condition will be deemed severable and will not affect the enforceability and validity of the remaining condition(s).

 

GENERAL

GoodLister may, at any time, in its sole discretion, and for whatever reason, terminate or suspend the App or any part/feature of the App without any prior notice to you.

You may not cede, assign or otherwise transfer your rights and obligations in respect of these Ts & Cs to any third party.

Any failure on the part of GoodLister or you to enforce any right in respect hereof shall not constitute a waiver of that right.

If any condition found in these Ts & Cs is deemed, for any reason, unenforceable, void or invalid, the condition will be deemed severable and will not affect the enforceability and validity of the remaining condition(s). The remaining conditions will remain in full force.

No addition, variation, deletion, or agreed cancellation of these Ts & Cs will be of any force or effect unless in writing and accepted by or on behalf of the parties hereto.

No indulgence, relaxation or extension of time shown by either party hereto shall constitute a waiver of any rights.

These Ts & Cs contain the whole agreement between GoodLister and the User and no other undertaking or warranty is valid.

 

GOVERNING LAW & JURISDICTION

Unless any applicable law prescribes otherwise, these Ts & Cs shall be governed and interpreted in accordance with the laws of  the Republic of South Africa.

By using the App you consent to the jurisdiction of the South African courts regarding all legal proceedings instituted by either party against the other, arising from any of these Ts & Cs.
